1. Introduction & Acceptance
These Terms of Service (“Terms”) govern your access to and use of the Galleys platform (“Service”), operated by Galleys (“we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
These Terms constitute a legally binding agreement between you and Galleys. Please read them carefully before using the Service.
2. Description of Service
Galleys is an AI-powered manuscript editing platform. You upload manuscripts, select an AI model and editorial tone, and receive structured editorial reports with severity-tiered issues, interactive visualizations, and prioritized revision plans. The Service processes your manuscripts through third-party AI providers (Anthropic, OpenAI, Google) via their APIs.
3. Account Responsibilities
You must provide accurate information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@galleys.ai if you suspect unauthorized access.
You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account and use the Service.
4. Intellectual Property & Manuscript Ownership
You retain all rights to your manuscripts. Uploading a manuscript to Galleys does not transfer any ownership, copyright, or intellectual property rights to us. We claim no ownership over your content.
By uploading a manuscript, you grant us a limited, non-exclusive, revocable license to process your manuscript solely for the purpose of providing the editorial analysis service. This license terminates when you delete your manuscript or your account.
We do not use your manuscripts to train AI models. Your manuscripts are sent to third-party AI providers exclusively for real-time analysis and are subject to those providers' data handling policies (see Section 6).
5. AI-Generated Output
Editorial reports, suggestions, and feedback generated by the Service are AI-generated and advisory in nature. They are not a substitute for professional human editing, proofreading, or legal review.
We do not guarantee the accuracy, completeness, or suitability of AI-generated output. You are solely responsible for evaluating and applying any suggestions to your work. Galleys shall not be liable for any decisions you make based on AI-generated editorial feedback.
6. Third-Party AI Providers
The Service uses third-party AI providers to process manuscripts:
- Anthropic (Claude models) — Privacy Policy
- OpenAI (GPT models) — Privacy Policy
- Google (Gemini models) — Privacy Policy
When using our platform API keys, data sent to these providers is covered by our API agreements with them, which prohibit the use of API data for model training. When using your own API keys (BYOK), data handling is governed by your own agreement with the respective provider.
7. Bring Your Own Key (BYOK)
If you provide your own API keys, you are solely responsible for:
- All usage charges incurred on your API key through the Service.
- Ensuring your use of the API key complies with the respective provider's terms of service.
- The security of your API key outside of our platform.
Your API keys are encrypted at rest using AES-256-GCM encryption and are never logged in plaintext. You may delete your stored API keys at any time from your account settings.
8. Payment, Billing & Cancellation
Paid plans are billed on a recurring monthly or annual basis through Stripe. By subscribing, you authorize us to charge your payment method on each billing cycle. All fees are stated in US dollars unless otherwise noted.
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain access to paid features until then. We do not provide prorated refunds for partial billing periods.
We reserve the right to change pricing with 30 days' notice. Price changes apply to the next billing cycle after the notice period.
9. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Violation of the Acceptable Use Policy may result in suspension or termination of your account.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy or reliability of any AI-generated editorial feedback. You use the Service at your own risk.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GALLEYS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless Galleys and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) content you upload to the Service.
13. Termination
You may terminate your account at any time by deleting it from your account settings. We may suspend or terminate your account if you violate these Terms or our Acceptable Use Policy, or if required by law.
Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of [State/Jurisdiction], without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of [State/Jurisdiction].
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service at least 30 days before changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
